By-Laws

ARTICLE I - NAME

The name of the organization shall be The Robinson-Manning Family Reunion.

ARTICLE II - PURPOSE

It shall be the purpose of the organization to promote the heritage and the Annual Reunion of the Robinson-Manning Family by encouraging fellowship and recreation among and between its members. To such end, it may acquire, maintain, and govern the use of real and personal property suited to the organization's purpose and also keep necessary genealogical records to achieve such purpose.

ARTICLE III - MEMBERSHIP

Sec. 1 There shall be no application for membership.

Sec. 2 To be eligible for membership one member of the family must be a descendant, by blood, marriage, or adoption of Arad and Lura Robinson, and their children:

Sec. 3 A voting member is any family member age eighteen and over.

Sec. 4 The Reunion will not discriminate against any person on the basis of race, color or religion.

ARTICLE IV - DUES

Sec.1 There shall be no dues or assessments.

Sec. 2 Contributions and collections are to be allowed.

Sec. 3 There shall be no inurement or distribution of earnings to any other person, except as reasonable compensation for services rendered.

ARTICLE V - OFFICERS

Sec. 1 The officers shall consist of a President, First Vice- President, Second Vice-President, Recording Secretary, Corresponding Secretary, and Treasurer.

Sec. 2 The term of office shall be three (3) years. A majority vote of members present is required for election.

Sec. 3 The elected officers and the immediate past President shall serve as the Executive Board.

Sec. 4 The President(s) shall not serve three (3) consecutive full terms.

Sec. 5 It is the hope, but not mandatory, that the First Vice-President will be nominated for President after term as First Vice-President.

Sec. 6 The Executive Board shall have the power to fill any vacancy on the Executive Board for the unexpired term, except in the case of the President, the First Vice-President shall move up to the office of President.

Sec. 7 The officers will serve without compensation.

ARTICLE VI - DUTIES OF OFFICERS

Sec. 1 President: Shall be responsible for the general welfare of the Robinson-Manning Family Reunion and shall appoint Committee(s) and Chairperson(s) as needed with confirmation of the Executive Board and may serve as a member of all committees, except the Nominating Committee.

Sec. 2 First Vice-President: Shall perform the duties of the President in the President's absence. The First Vice-President shall be responsible for organizing Family Worship for the Annual Reunion.

Sec. 3 Second Vice-President: Shall perform the duties of the President in the absence of the President and the First Vice President and shall be responsible for organizing the special events of the Annual Reunion.

Sec. 4 Recording Secretary: Shall keep the records of all meetings including annual meetings and board meetings and report at the next meeting. The Recording Secretary shall be responsible for maintaining Vital Statistics and Attendance Records of the Annual Reunion.

Sec. 5 Corresponding Secretary: Shall send out notices of the Annual Meeting, Executive Board Meetings, Reunion Planning Committee Meetings, and other necessary notices to the membership and shall be responsible for keeping the mailing list up to date.

Sec. 6 Treasurer: Shall receive all monies collected by the Robinson-Manning Family Reunion and deposit them in the organization's bank account. The Treasurer shall pay all bills approved by the Executive Board for payment.

ARTICLE VII - COMMITTEES

Sec. 1 Nominating Committee: Shall be appointed by the President and confirmed by the Executive Board. This committee shall consist of three (3) members and be appointed at least six (6) months prior to elections of the Annual Meeting. A written notice of the nominees shall be in the call letter of the Annual Meeting.

Sec. 2 Auditing Committee: Shall consist of two (2) members other than elected officers, Nominated by the nominating committee and elected at the Annual Meeting for a three (3) year term. An audit shall be made each year and reported to the Executive Board.

Sec. 3 Reunion Planning Committee: Shall be responsible for the planning of the Annual Robinson- Manning Family Reunion. All family members may attend meetings and have full voting rights. The Executive Board shall be in charge of the meetings with officers performing their respective duties.

Sec. 4 Robinson-Manning Reunion Trust Fund Committee: Shall consist of the President, Recording Secretary, and Treasurer. The committee shall be responsible for the prudent investment of the monies assigned to the fund. The Income only can be used to benefit the Robinson-Manning Family Reunion. The Principal may not be used unless the membership at an Annual Meeting by a two-thirds (2/3) vote of members present authorize the principal to be used for a specific purpose to benefit the Robinson-Manning Family Reunion.

Sec. 5 Genealogy-History Committee: Shall keep genealogical and historical records of the Robinson-Manning Family Reunion.

Sec. 6 Memorabilia Committee: Shall be responsible for documenting memorabilia and where it may be located.

Sec. 7 The President with the confirmation of the Executive Board shall appoint additional Committee(s) and Chairperson(s) as needed during the President's term of office.

Sec. 8 Committees shall keep full records of their proceedings and shall report same to the Executive Board.

ARTICLE VIII - MEETINGS

Sec. 1 The Annual Meeting shall be the third weekend in August during the Annual Family Reunion. This date may be changed by the Executive Board by notifying the members at least 60 days prior to the set date.

Sec. 2 Executive Board Meetings are at the call of the President stating the time, date, and location and giving at least ten (10) days notice of said meetings. All Board Meetings are open to all members of the Robinson-Manning Family Reunion.

Sec. 3 A Special Meeting of the Robinson-Manning Family Reunion must be called by the President if twenty (20) members request a Special Meeting in writing. The request must state the purpose for calling the Special Meeting and only the item(s) specified will be acted on at said meeting.

Sec. 4 Voting will be at the direction of the President either by voice, raised hand, standing, or secret ballot.

Sec. 5 The rules contained in the current edition of Robert's Rules of Order shall apply at all meetings unless inconsistent with these By-laws.

ARTICLE IX - AMENDMENTS

These By-laws may be amended by a two-thirds (2/3) vote of the members present at the Annual Meeting. Notice of the By-law change(s) along with the change(s) must accompany the notice of the Annual Meeting at least three (3) weeks prior to the Annual Meeting.
